Important Notice: The tools provided through the Aethralion platform are analytical aids designed to assist real estate professionals in evaluating and managing transactions. They are not a substitute for professional judgment, licensed real estate advice, legal counsel, or certified financial planning. All outputs are estimates based on user-provided inputs and should be independently verified before being relied upon for any business, legal, or investment decision.

1. Purpose of This Disclaimer

This disclaimer applies to all analytical tools, calculators, projections, recommendations, reports, and outputs generated by the Aethralion platform, including but not limited to the Deal Analyzer and HelmOrbit tools. By using these tools, you acknowledge and agree to the limitations described in this document.

This disclaimer is incorporated into and forms part of the Aethralion Terms of Service. In the event of any conflict between this document and the Terms of Service, the Terms of Service shall govern.

2. Deal Analyzer — Specific Disclaimer

Deal Analyzer

The Deal Analyzer generates estimated offer prices, net operating income (NOI), cap rates, cash-on-cash returns, gross rent multipliers, risk scores, deal grades, break-even occupancy rates, and related investment metrics.

All outputs from the Deal Analyzer are estimates only, calculated solely from the data you enter. They are subject to the following limitations:

Input dependency: The accuracy of all outputs is entirely dependent on the accuracy of the data you provide. Garbage in, garbage out. If your rent estimates, expense figures, or market data are inaccurate, all derived outputs will be inaccurate.
Market conditions not modeled: The Deal Analyzer does not account for current or future market conditions, interest rate changes, neighborhood trends, local economic factors, or any other external variables that affect property value.
No comparable sales analysis: Recommended offer prices are derived from cap rate math only and do not incorporate comparable sales data (comps), appraisal methodology, or market-based valuation techniques.
Financing assumptions: Mortgage payment calculations assume a fixed-rate, fully amortizing loan. They do not account for adjustable rates, points, origination fees, private mortgage insurance (PMI), or lender-specific requirements.
Tax implications not modeled: The tool does not calculate income tax consequences, depreciation benefits, capital gains treatment, 1031 exchange eligibility, or any other tax-related factors affecting investment returns.
Risk score limitations: The risk score is a simplified composite metric for comparative purposes only. It does not represent a complete risk assessment of any property or investment.
Deal grades: A, B, and C deal grades are informational indicators based on the relationship between calculated and target cap rates. They are not professional investment ratings or recommendations.

You should not make any offer, investment decision, or financial commitment based solely on Deal Analyzer outputs without independently verifying all figures with a licensed real estate professional, certified public accountant, or financial advisor.

3. HelmOrbit — Specific Disclaimer

HelmOrbit

HelmOrbit provides transaction management, commission calculation, CRM, pipeline tracking, milestone management, and related brokerage operations tools.

Commission calculations are estimates only and are subject to the following limitations:

Configuration dependency: All commission calculations are based on the commission structures you configure within the platform. You are responsible for ensuring these structures accurately reflect your brokerage agreements, agent contracts, and applicable state regulations.
Not legally binding: Commission calculations generated by HelmOrbit do not constitute legally binding statements of commission obligations. Actual commissions owed are governed by your written brokerage agreements and applicable state real estate law.
Cap calculations: Broker cap tracking is based on the data entered into the platform. We are not responsible for errors arising from incorrect initial data, missing transactions, or retroactive adjustments.
State-specific regulations: Real estate commission rules vary by state. HelmOrbit does not automatically incorporate state-specific requirements. You are responsible for ensuring your commission practices comply with applicable state real estate commission regulations.
Not a transaction management guarantee: Milestone tracking and deadline management tools are provided as organizational aids only. Missing a milestone within the platform does not excuse a missed contractual obligation. You are solely responsible for meeting all contractual deadlines.
Client data responsibility: You are solely responsible for the accuracy and legality of all client information entered into HelmOrbit. You must obtain all necessary client consents before entering client data into the platform.

4. General Limitations Applicable to All Tools

4.1 Not Professional Advice

Nothing provided through the Aethralion platform constitutes professional financial advice, real estate advice, legal advice, tax advice, investment advice, or any other form of licensed professional advice. The platform is a software tool, not a licensed professional service.

You should always consult with appropriate licensed professionals — including real estate attorneys, certified public accountants, licensed financial advisors, and state-licensed real estate professionals — before making any significant business, legal, or investment decisions.

4.2 No Guarantee of Accuracy

While we strive to ensure the mathematical accuracy of our calculation engines, we make no warranty that any output is accurate, complete, current, or error-free. Market conditions, tax laws, lending requirements, and other relevant factors change frequently and may not be reflected in the platform's calculations.

4.3 Historical Data and Future Performance

Any references to historical market data, average cap rates, typical expense ratios, or similar benchmarks are provided for context only and are not guarantees of future performance. Past real estate market performance does not predict future results.

4.4 Third-Party Data

If the platform incorporates any third-party data sources in the future, we will not be responsible for the accuracy of that data. Users should independently verify all third-party data before relying on it.

4.5 User Responsibility

You are solely responsible for:

The accuracy of all data you enter into the platform
Verifying all outputs before using them in any business communication, client presentation, or investment decision
Ensuring your use of the platform complies with applicable laws and your professional licensing obligations
Obtaining appropriate professional advice before making investment or business decisions
Maintaining compliance with all applicable state real estate commission regulations

5. Real Estate Professional Responsibility

If you are a licensed real estate professional using Aethralion to serve clients, you remain solely responsible for:

Your professional duties of loyalty, disclosure, and competence under applicable state real estate law
Providing accurate information and advice to your clients, independent of any platform outputs
Complying with all applicable MLS rules, state real estate commission regulations, and NAR Code of Ethics requirements
Maintaining your professional license in good standing
The accuracy of any deal analyses, commission disclosures, or transaction documents you provide to clients

The Aethralion platform is a tool to assist your professional practice — it does not replace your professional judgment or reduce your professional obligations to your clients.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, [LEGAL ENTITY NAME — TO BE COMPLETED] SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, OR CLAIMS ARISING FROM:

Investment decisions made in reliance on Deal Analyzer outputs
Commission disputes arising from HelmOrbit calculations
Missed transaction deadlines or contractual obligations
Errors in user-provided data that affected analytical outputs
Any other reliance on platform outputs for business, legal, or investment decisions
